The following is a list of the items covered in the consignment agreement.  

 

  1. The Potted Gate is appointed a non-exclusive sales agent for the sale of the Consignee’s goods, on the following terms and conditions.   Consignee agrees not to place its goods in any other consignment shop within a 15-mile radius of The Potted Gate in Wellston, Michigan..
  2. Consignee shall accompany each shipment of goods with an invoice, invoicing the goods to Company. This method of invoicing is followed for mutual convenience and record keeping purposes and is not to be construed as a sale of the goods.
  3. The Potted Gate shall accept possession of the goods on consignment, and shall sell the goods for the price both The Potted Gate and Consignee agree upon.   The Potted Gate shall account for and remit all compensation due and remaining unpaid for the goods sold in the previous 3 months, by the 10 of the month (paid quarterly).
  4. Goods shall be tagged with the agreed upon price by the Consignee with the Consignee’s label.
  5. The Consignee grants permission to The Potted Gate to use Consignee’s name in advertising and likeness of Consignee’s work.
  6. A commission shall be calculated on the actual sales price of all goods, after deducting sales tax discounts and allowances.   The commission is payable when goods are sold and may be deducted by The Potted Gate from remittance due Consignee.   Commission rate is currently 25-35% and will be agreed upon prior to signing contract.
  7. The Potted Gate shall keep accurate records showing: all goods received from Consignee on consignment with the consignment invoice price; all sales to customers with the date of sale, quantities purchased, and the terms of the sale.
  8. Consignee retains full responsibility for loss or damage to all consigned goods.
  9. The Potted Gate will be held harmless by Consignee for any dangerous or harmful products, or breach of warranty.
  10. Consignee warrants that it has good title to all goods, free and clear of all liens.
  11. The signed consignment agreement shall continue in force until terminated.   Either party may terminate this Agreement at any time by giving the other party thirty- (30) days’ notice in writing in advance of the termination date.   Once Consignee or The Potted Gate gives a notice of termination, Consignee shall pick-up, within the thirty- (30) day period, all consigned goods remaining unsold, and The Potted Gate shall account for and remit all compensation due and remaining unpaid. Items not sold and 30 days past ending date of agreement will be disposed of, unless extension signed or other options made.
